3. Service Agreements

All services are subject to a written agreement between Spectrum Ltd and the client. The specific terms, pricing, timelines, and deliverables will be outlined in individual project contracts or service agreements.

4. Payment Terms

Payment terms and conditions include:

  • Payment schedules will be specified in individual service agreements
  • Deposits may be required before work commences
  • Late payments may incur additional charges as specified in the agreement
  • All prices are quoted in GBP (£) unless otherwise stated
  • Prices are subject to change with prior notice

5. Client Responsibilities

Clients agree to:

  • Provide accurate information about project requirements
  • Ensure site access for installation and maintenance work
  • Provide necessary permissions and approvals
  • Maintain equipment according to our recommendations
  • Notify us promptly of any issues or concerns

6. Warranties and Guarantees

We provide warranties on our workmanship and installed equipment as follows:

  • Installation workmanship is guaranteed for a period specified in your service agreement
  • Equipment warranties are provided by manufacturers and will be transferred to clients
  • Warranties do not cover damage caused by misuse, accidents, or unauthorized modifications
  • Regular maintenance may be required to maintain warranty coverage

7. Limitation of Liability

To the maximum extent permitted by law:

  • Spectrum Ltd shall not be liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid for the specific service in question
  • We are not responsible for delays caused by circumstances beyond our control
  • Clients are responsible for backing up their data before any service work

8. Intellectual Property

All designs, documentation, and proprietary information provided by Spectrum Ltd remain our intellectual property unless explicitly transferred in writing. Clients receive a license to use our work for their intended business purposes.

9. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of business. This includes technical specifications, pricing information, and business operations details.

10. Termination

Either party may terminate a service agreement under the following conditions:

  • Written notice as specified in the service agreement
  • Immediate termination for breach of contract
  • Payment for work completed up to the termination date
  • Return of client property and equipment

11. Dispute Resolution

In the event of a dispute, both parties agree to:

  • First attempt to resolve the matter through good faith negotiation
  • Consider mediation before pursuing legal action
  • Submit to the jurisdiction of courts in England and Wales

12. Force Majeure

Spectrum Ltd shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, or supply chain disruptions.

13. Amendments

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
